Coin Communities API Terms of Service

1. Purpose

These Coin Communities API Terms of Service (the “Terms”) govern access to and use of the Coin Communities feature that enables third-party websites and applications to host, display, embed, or otherwise integrate chat features from the Coin Community Site on their own sites, products, and services. These Terms apply to and govern all related application programming interfaces (APIs), software development kits (SDKs), developer tools, technical and implementation documentation, community integrations, webhook systems, authentication systems, and any related materials, services, functionality, content, and infrastructure made available by or on behalf of Coin Communities in connection with such feature. By accessing, using, implementing, or integrating any of the foregoing, you agree to be bound by these Terms.

2. Definitions

For purposes of these Terms, the following definitions apply:

  • “Affiliates” means, with respect to any person or entity, any other person or entity that directly or indirectly controls, is controlled by, or is under common control with such person or entity. For purposes of this definition, “control” means the direct or indirect possession of the power to direct or cause the direction of the management, policies, or affairs of a person or entity, whether through ownership of voting securities, equity interests, or other ownership interests, by contract, or otherwise.
  • “API” means any application programming interface, endpoint, protocol, method, call, webhook, integration interface, or other technical means made available by or on behalf of Coin Communities for accessing, interfacing with, or using the Coin Communities feature, together with any related SDKs, developer tools, documentation, authentication mechanisms, and technical materials.
  • “Application” means any website, application, product, service, software, platform, interface, or other implementation developed, operated, or made available by or on behalf of a Developer that accesses, uses, implements, or integrates with the API or the Coin Communities feature.
  • “API Credentials” means any credentials, keys, tokens, secrets, signatures, certificates, passwords, or other authentication or access-control mechanisms used to access or use the API or any related Coin Communities systems or services.
  • “Blockchain Network” means any distributed ledger, blockchain, sidechain, layer 2 network, or similar protocol or network on or through which digital assets, tokens, credentials, or wallet-based permissions may be created, recorded, transferred, verified, or otherwise recognized.
  • “CCPA/CPRA” means the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020, together with any implementing regulations and any amendments, replacements, or successor laws thereto.
  • “Coin Communities” means the Coin Communities Site and the related chat, community, messaging, channel, group, forum, token-gating, and interaction features and functionality made available by or on behalf of Site Operator, LLC or its Affiliates, together with any APIs, SDKs, developer tools, documentation, systems, infrastructure, content, and services provided in connection therewith.
  • “Coin Communities Site” means the website hosted at coincommunites.org, together with all related webpages, subdomains, interfaces, functionality, content, features, and services made available on or through such website.
  • “Controller” means any person or entity that alone or jointly determines the purposes and means of the processing of Personal Data, or any analogous term under applicable Data Protection Laws, including “business” under the CCPA/CPRA.
  • “Data Protection Laws” means all applicable laws, rules, regulations, directives, and regulatory requirements relating to privacy, data protection, data security, cybersecurity, breach notification, cross-border data transfers, direct marketing, cookies or tracking technologies, communications privacy, or the collection, use, disclosure, storage, retention, transfer, or other processing of personal information, personal data, or similar information, including, to the extent applicable, the GDPR and the CCPA/CPRA.
  • “Developer” means any person or entity that accesses, uses, implements, or integrates the API or Coin Communities feature, whether on its own behalf or on behalf of another person or entity.
  • “Digital Wallet” means any software, account, application, device, address, credential, or other mechanism that enables a user to hold, access, control, sign with, prove control over, or otherwise use blockchain-based assets, tokens, or permissions.
  • “End User” means any individual or entity that accesses, uses, interacts with, or is a member of an Application, the Coin Communities feature, or any Token-Gated Community through or in connection with a Developer’s implementation or integration.
  • “Personal Data” or “Personal Information” means any information relating to an identified or identifiable natural person, or any other information constituting “personal data,” “personal information,” or similar protected information under applicable Data Protection Laws.
  • “Platform” means the website, application, service, system, infrastructure, interface, or environment owned, operated, controlled, or made available by a Developer on or through which the API or Coin Communities feature is accessed, displayed, embedded, hosted, or otherwise integrated.
  • “Processor” means any person or entity that processes Personal Data on behalf of a controller, business, or other responsible party, as such terms are defined under applicable Data Protection Laws.
  • “Security Incident” means any actual unauthorized access to, acquisition of, disclosure of, alteration of, loss of, destruction of, or compromise of Personal Data processed by or on behalf of Coin Communities in connection with the API or the Coin Communities feature. Security Incident does not include unsuccessful attempts or activities that do not compromise the security, confidentiality, availability, or integrity of Personal Data, including unsuccessful login attempts, port scans, denial-of-service attacks, firewall events, blocked network attacks, or similar events.
  • “Service Data” means any data, metadata, logs, records, analytics, technical information, usage information, diagnostic information, performance information, configuration information, and other information generated by, relating to, or collected in connection with access to, use of, or operation of the API, the Coin Communities feature, or any related systems or services, excluding User Content except to the extent incorporated into the foregoing.
  • “Standard Contractual Clauses” or “SCCs” means the standard contractual clauses approved by the European Commission for the transfer of Personal Data to third countries pursuant to applicable Data Protection Laws, including Commission Implementing Decision (EU) 2021/914, as amended, replaced, superseded, or supplemented from time to time.
  • “Subprocessor” means any third party engaged by or on behalf of Coin Communities to process Personal Data in connection with the provision, operation, maintenance, security, support, or improvement of the API or the Coin Communities feature.
  • “Token-Gated Community” means any Coin Communities community, chat, channel, group, forum, experience, or feature for which access, participation, permissions, visibility, or functionality is conditioned in whole or in part on ownership, holding, control, verification, staking, delegation, or other wallet-based association with one or more digital assets, tokens, NFTs, credentials, or similar blockchain-based indicators.
  • “User Content” means any data, text, messages, posts, communications, images, files, media, wallet information, usernames, profile information, or other content or materials submitted, uploaded, posted, transmitted, displayed, or otherwise made available by or on behalf of a Developer or End User through or in connection with the API, an Application, the Platform, or the Coin Communities feature.

3. Eligibility

3.1 You may access, use, implement, or integrate the API or the Coin Communities feature only if you are at least eighteen (18) years of age, or the age of legal majority in the jurisdiction in which you reside or from which you access or use the API or the Coin Communities feature, whichever is greater, and are otherwise fully able and competent to enter into and comply with these Terms. If you are accessing, using, implementing, or integrating the API or the Coin Communities feature on behalf of a company, organization, or other legal entity, you represent and warrant that you have full power and authority to bind such entity to these Terms, and references to “you” will include such entity.

3.2 You may access and use the API and the Coin Communities feature only in compliance with all applicable laws, rules, regulations, orders, and regulatory requirements, including those relating to privacy, data protection, consumer protection, intellectual property, anti-money laundering, anti-corruption, sanctions, export controls, and the use, transfer, and processing of digital assets, blockchain-based systems, and online communications.

3.3 Without limiting the foregoing, you represent, warrant, and covenant that you are not, and are not acting on behalf of, any person or entity that is: (a) located in, ordinarily resident in, organized under the laws of, or subject to the jurisdiction of any country or territory that is the subject of comprehensive trade sanctions or embargoes imposed by the United States or other applicable governmental authority, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, or any other embargoed jurisdiction; (b) located in or accessing the API or the Coin Communities feature from the United Kingdom; (c) identified on any sanctions-related list maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control, the U.S. Department of State, the United Nations, the European Union, His Majesty’s Treasury, or any other applicable governmental authority; or (d) otherwise prohibited from accessing or using the API or the Coin Communities feature pursuant to applicable export control or sanctions laws. You will not permit any person or entity described in this Section to access or use the API or the Coin Communities feature, directly or indirectly.

4. License Grant

4.1 Limited License. Subject to these Terms and continued compliance therewith, Coin Communities grants to Developer a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the API solely as necessary to develop, implement, operate, maintain, and support the Application and Platform for the following permitted purposes: (a) integrating, displaying, embedding, hosting, or otherwise enabling Coin Communities community and chat features within the Application or Platform; (b) facilitating moderation, trust and safety functions, content review, and enforcement of Developer’s community standards and policies as applied to its Application or Platform; (c) generating, reviewing, and using analytics, usage insights, operational metrics, and performance information relating to Developer’s authorized implementation of the Coin Communities feature; (d) performing wallet, token, credential, or other blockchain-based verification, gating, and access-control functions in connection with Token-Gated Communities or related features; and (e) conducting authorized community administration and management activities in connection with Developer’s permitted use of the API and the Coin Communities feature. No license or right is granted except as expressly set forth in these Terms, and all rights not expressly granted are reserved by Coin Communities and its licensors.

4.2 Restrictions. Developer will not, and will not permit any third party to, directly or indirectly: (a) sell, resell, lease, license, sublicense, distribute, provide, disclose, or otherwise make the API available on a standalone, service bureau, hosted, or pass-through basis, or otherwise commercialize the API itself separate from a permitted Application integration; (b) use the API, Service Data, User Content, or any data obtained from or through the Coin Communities feature to build, train, improve, support, or enable any product, service, database, model, system, or infrastructure that competes with Coin Communities or any related chat, community, messaging, token-gating, or interaction functionality, including through scraping, harvesting, indexing, or aggregation; (c) copy, modify, translate, adapt, create derivative works of, reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive, discover, access, or reconstruct the source code, object code, structure, architecture, underlying ideas, protocols, non-public interfaces, or other internal workings of the API, the Coin Communities feature, or any related systems or infrastructure, except to the extent such restriction is prohibited by applicable law; (d) circumvent, disable, interfere with, breach, test, or otherwise defeat any authentication measure, access control, rate limit, usage restriction, technical limitation, security mechanism, monitoring mechanism, or protective measure implemented by or on behalf of Coin Communities; (e) impersonate, misrepresent, spoof, falsify identity information for, or otherwise hold itself out as any End User, developer, administrator, moderator, Coin Communities, or any other person or entity, or cause any Application, bot, agent, or integration to do the same; (f) use the API for unsolicited, deceptive, abusive, harassing, fraudulent, or spam activity, including excessive automation, inauthentic engagement, bot abuse, coordinated manipulation, or other activity that disrupts, harms, or degrades the Coin Communities feature or the experience of any End User; or (g) use the API, Service Data, User Content, or any information derived therefrom for surveillance, unlawful monitoring, unlawful profiling, discriminatory decision-making, or to infer or process sensitive characteristics about any person in violation of applicable law.

4.3 Conditions of Use. Developer’s license under this Section is conditioned at all times on Developer’s compliance with these Terms, all applicable documentation and technical requirements made available by Coin Communities, and all applicable laws, rules, and regulations. Coin Communities may suspend, limit, condition, or revoke the license granted under this Section, in whole or in part, at any time and for any or no reason, including if Coin Communities determines that Developer’s access to or use of the API or the Coin Communities feature may create legal, regulatory, security, operational, reputational, or other risk to Coin Communities, any End User, or any third party.

5. API Credentials and Security

5.1 API Credentials. Developer is solely responsible for obtaining, maintaining, securing, and using all API Credentials. Developer will keep all API Credentials strictly confidential and will not disclose, share, transfer, publish, distribute, or otherwise make any API Credentials available to any third party except to personnel or service providers with a need to know such credentials for Developer’s permitted use of the API and who are bound by written obligations of confidentiality and security at least as protective as those set forth herein. Developer is responsible for all acts and omissions occurring through or under its API Credentials, whether or not authorized by Developer.

5.2 Security Measures. Developer will implement and maintain commercially reasonable administrative, technical, physical, and organizational safeguards designed to protect the API, API Credentials, the Application, the Platform, User Content, and any data obtained from or through the Coin Communities feature against unauthorized access, acquisition, use, disclosure, alteration, destruction, loss, or other compromise. Without limiting the foregoing, Developer will use current industry-standard encryption and secure transport protocols, including HTTPS and TLS, for all access to, calls to, transmissions to or from, and other interactions with the API and any related Coin Communities systems, and will not transmit API Credentials over any insecure or unencrypted channel.

5.3 Compromised Credentials; Rotation. Developer will immediately notify Coin Communities upon becoming aware of any actual or suspected loss, theft, unauthorized disclosure, unauthorized use, compromise, or other security incident involving any API Credentials, the Application, the Platform, or Developer’s access to or use of the API or the Coin Communities feature that could affect Coin Communities, any End User, or any related systems or data. Developer will promptly investigate such incident, take all necessary remedial actions, and, at its sole cost and expense, immediately rotate, revoke, replace, or otherwise secure any compromised or suspected compromised API Credentials.

5.4 Security Incidents. Developer will provide Coin Communities with prompt written notice of any actual or suspected security breach, intrusion, vulnerability, or other incident affecting Developer’s systems, Application, Platform, or API integration that has affected or could reasonably be expected to affect the API, the Coin Communities feature, any API Credentials, any User Content, any Service Data, or any End User. Developer will cooperate fully with Coin Communities in investigating, mitigating, remediating, and responding to any such incident and will provide such information and assistance as Coin Communities may reasonably request.

5.5 Suspension; Revocation. Coin Communities may, at any time and without prior notice, suspend, disable, rotate, revoke, or require replacement of any API Credentials, or suspend or terminate Developer’s access to all or any portion of the API or the Coin Communities feature, if Coin Communities believes that any API Credentials have been compromised, that Developer has failed to comply with this Section, or that Developer’s access to or use of the API or the Coin Communities feature involves abuse, misuse, fraud, security risk, excessive risk, or other conduct that may harm Coin Communities, any End User, or any third party. Coin Communities will have no liability arising from any such suspension, disabling, rotation, revocation, or termination.

6. Acceptable Use Policy

6.1 Prohibited Conduct. Developer will not, and will not permit any third party or End User to, access or use the API, the Coin Communities feature, the Application, or the Platform in any manner that: (a) violates the Coin Communities Terms of Service (https://coincommunities.org/legal/terms-of-use), is unlawful, fraudulent, deceptive, misleading, abusive, threatening, defamatory, obscene, or pornographic; (b) involves spam, unsolicited communications, bulk messaging, bot flooding, artificial engagement, inauthentic activity, coordinated amplification, or other manipulative activity intended to inflate usage, visibility, participation, or apparent community engagement; (c) stalks, intimidates, exploits, threatens, abuses, or promotes violence; (d) transmits, distributes, links to, stores, or facilitates any malware, spyware, ransomware, malicious code, harmful payload, or other software, code, or mechanism designed to disrupt, damage, exfiltrate, intercept, or obtain unauthorized access to any system, data, private keys of an End User or other third party, account, or device; (e) involves phishing, spoofing, social engineering, impersonation, credential theft, wallet theft, private key harvesting, or other activity intended to obtain money, digital assets, tokens, credentials, API Credentials, or personal information through fraud or deception; (f) discloses, publishes, disseminates, or facilitates the disclosure of personal, sensitive, confidential, or identifying information of any person without appropriate authorization, including doxxing or other invasions of privacy; (g) contains, promotes, solicits, or facilitates child sexual abuse material, child exploitation material, grooming, trafficking, other pornographic content, or any exploitation of minors; (h) promotes, facilitates, or is used in connection with money laundering, sanctions evasion, terrorist financing, unlawful gambling, fraud, market manipulation, unregistered or unlawful securities activity, or any other illegal financial activity; or (i) promotes, facilitates, or is used in connection with token manipulation schemes, pump-and-dump activity, wash trading, misleading token promotions, fraudulent airdrops, fake minting activity, rug pulls, or other scams involving digital assets, tokens, NFTs, or wallet-based access rights.

6.2 Misuse of the API and Coin Communities Feature. Developer will not, and will not permit any third party to, directly or indirectly: (a) make excessive, abusive, or unreasonable API calls or otherwise access or use the API in a manner that exceeds applicable rate limits, quotas, technical requirements, or reasonable usage parameters established by Coin Communities; (b) overload, interfere with, disrupt, degrade, or impair the API, the Coin Communities feature, or any related systems, infrastructure, or networks; (c) scrape, crawl, harvest, extract, index, collect, cache, mirror, or otherwise obtain any content, data, metadata, or information from any private, restricted, gated, or non-public Coin Communities community, chat, channel, group, forum, or feature, except as expressly authorized by Coin Communities in writing; (d) bypass, circumvent, undermine, or interfere with any token-gating rules, wallet-verification requirements, access controls, permissions, eligibility criteria, or other restrictions applicable to any Token-Gated Community or related feature; or (e) use automation, bots, scripts, or similar means in any manner that circumvents moderation controls, access restrictions, security measures, or intended use limitations of the API or the Coin Communities feature.

6.3 Data Minimization and Handling. Developer will collect, access, use, retain, disclose, and otherwise process User Content, Service Data, personal information, wallet information, and other data obtained from or through the API or the Coin Communities feature only to the extent necessary for Developer’s permitted use under these Terms and in compliance with applicable law. Developer will not store or retain personal information or other sensitive data obtained from or through the API or the Coin Communities feature for longer than reasonably necessary for such permitted purposes, and will not collect, store, or process unnecessary personal data.

6.4 Compliance and Enforcement. Developer is solely responsible for monitoring and ensuring that its Application, Platform, integrations, personnel, agents, contractors, and End Users comply with this Section. Developer will promptly investigate and address any actual or suspected violation of this Section and will immediately notify Coin Communities of any actual or suspected breach of this Section, security incident, abuse, fraud, unlawful activity, or misuse of the API or the Coin Communities feature. Without limiting any other rights or remedies, Coin Communities may remove content, limit functionality, suspend or terminate access, revoke API Credentials, or take any other action it deems appropriate in response to any violation or suspected violation of this Section.

7. Token-Gated Community Rules

7.1 Token Ownership Requirements. Certain communities, chats, channels, groups, forums, features, content, permissions, functionality, and other portions of the Coin Communities Site or the Coin Communities feature may require an End User to programmatically demonstrate control over one or more tokens to participate. Developer acknowledges and agrees that such token-gating, wallet-verification, and access-control requirements are integral to the operation of Token-Gated Communities, and Developer will not, and will not permit any third party or End User to, use the API, the Application, or the Platform to bypass, circumvent, simulate, falsify, undermine, or otherwise avoid any such requirement.

7.2 Changes to Access Criteria. Coin Communities, and where applicable the applicable community owner, administrator, moderator, or other authorized operator, may establish, modify, interpret, apply, suspend, or remove any token ownership, wallet-verification, eligibility, participation, or access requirements for any Token-Gated Community at any time, with or without notice. Developer acknowledges that token ownership thresholds, qualifying assets, wallet requirements, staking or delegation conditions, verification methods, and related eligibility criteria may change from time to time, and Coin Communities will have no liability arising out of or relating to any such changes.

7.3 Blockchain and Wallet Dependencies. Developer acknowledges and agrees that access to Token-Gated Communities and related verification functions may depend on Blockchain Networks, Digital Wallets, node operators, RPC providers, indexers, custodians, oracle providers, authentication tools, and other third-party systems, services, protocols, and infrastructure that are not owned or controlled by Coin Communities. Coin Communities does not control and is not responsible for the operation, availability, accuracy, security, performance, validity, or continued support of any Blockchain Network, Digital Wallet, or third-party provider, and Coin Communities does not guarantee that any wallet ownership, token balance, delegation status, or other blockchain-based entitlement will be verified accurately, continuously, or without interruption.

7.4 No Guarantee of Availability; Irreversible Transactions. Developer further acknowledges that blockchain-based systems may experience delays, forks, outages, congestion, reorgs, failures, cyberattacks, volatility, unexpected behavior, or other operational issues, and Coin Communities does not guarantee uninterrupted availability of any Blockchain Network, Digital Wallet connectivity, token-verification process, or Token-Gated Community functionality. All blockchain transactions, including transfers, approvals, staking transactions, delegation transactions, burns, and other on-chain actions, may be irreversible, final, and incapable of cancellation, recovery, or reversal once submitted or confirmed. Developer is solely responsible for its own evaluation of, and all risks arising from, any blockchain-based interaction undertaken by it or its End Users in connection with any Token-Gated Community.

7.5 No Endorsement or Guarantee. Coin Communities provides the Coin Communities feature as a technical platform and does not endorse, investigate, verify, monitor, guarantee, or make any representation, warranty, or assurance regarding the legitimacy, validity, value, quality, safety, legality, ownership, functionality, utility, or compliance of any token, Blockchain Network, Digital Wallet, Token-Gated Community, community operator, moderator, administrator, project, organization, or other person or entity using or made accessible through the Coin Communities feature. Without limiting the foregoing, Coin Communities does not endorse or guarantee the legitimacy of any token, or community using the platform.

7.6 Community Administration and Moderation. Developer acknowledges and agrees that each community owner, administrator, moderator, or other operator is solely responsible for establishing, implementing, and enforcing its own moderation standards, membership criteria, conduct rules, content policies, access decisions, and enforcement actions within its community, except to the extent Coin Communities elects to exercise any rights it may have under these Terms or applicable law. Coin Communities is not responsible for, and disclaims all liability arising out of or relating to, any moderation decision, access denial, removal, suspension, ban, content action, or other community-management action taken by any such community owner, administrator, moderator, or operator.

7.7 End User Accounts; Blockchain Address Association. Developer acknowledges and agrees that any End User presence or ability to post on or in connection with the Coin Communities feature will be associated with, and identified by reference to, the applicable public blockchain address of such End User’s Digital Wallet or associated public blockchain address. Except for accounts or account-based presences so associated with a public blockchain address, Coin Communities does not create, maintain, or recognize separate native user accounts for End Users on the Coin Communities platform. Developer will not represent or imply otherwise and will not rely on any username, profile, display name, off-chain identifier, or other designation as establishing a separate End User account independent of the applicable public blockchain address.

8. User Content and Data

8.1 User Content Ownership. As between Coin Communities, Developer, and End Users, and subject to the rights and licenses expressly granted in these Terms, End Users retain all right, title, and interest they may have in and to their respective User Content. These Terms do not transfer ownership of any User Content to Coin Communities or Developer, except that Developer and Coin Communities may exercise the rights expressly granted under these Terms as necessary to provide, access, use, operate, and support the Application, the Platform, and the Coin Communities feature.

8.2 Developer Ownership. As between Coin Communities and Developer, Developer retains all right, title, and interest in and to the Application, the Platform, and all software, systems, interfaces, branding, content, materials, and other technology or intellectual property created, owned, or controlled by or on behalf of Developer, excluding the API, the Coin Communities feature, Service Data, User Content owned by End Users, and any Coin Communities intellectual property.

8.3 Coin Communities Ownership. As between Coin Communities and Developer, Coin Communities and its licensors retain all right, title, and interest in and to the API, the Coin Communities feature, the Coin Communities Site, all Service Data, all related infrastructure, systems, software, tools, documentation, technology, content, trademarks, branding, and other intellectual property and proprietary rights made available by or on behalf of Coin Communities, together with all modifications, improvements, enhancements, and derivative works thereof. Except for the limited license expressly granted in these Terms, no right, title, or interest in or to any of the foregoing is granted, assigned, or transferred to Developer or any End User.

8.4 License to User Content. Developer represents and warrants that it has obtained, and will maintain, all rights, consents, permissions, and authorizations necessary for Coin Communities to host, access, use, copy, reproduce, store, process, transmit, display, perform, and format User Content solely as necessary to provide, operate, maintain, secure, support, improve, and enforce the Coin Communities feature, the API, and related services, systems, and functionality, and to comply with applicable law and enforce these Terms. To the extent Developer or any End User has any rights in User Content made available through Developer’s use of the API or the Coin Communities feature, Developer hereby grants, and will cause the applicable End User to grant, to Coin Communities a non-exclusive, worldwide, royalty-free license to exercise the foregoing rights for such limited purposes.

8.5 Operational Rights; Security and Moderation. Without limiting the foregoing, Coin Communities may host, cache, process, route, transmit, reformat, reproduce, moderate, review, filter, block, remove, secure, and otherwise handle User Content and related data to the extent Coin Communities determines necessary or appropriate to provide the API and the Coin Communities feature, administer Token-Gated Communities, prevent fraud, abuse, spam, or security incidents, protect End Users and systems, comply with applicable law, respond to legal process, and enforce these Terms, community rules, and other applicable policies. Coin Communities does not acquire ownership of User Content by virtue of exercising any such rights.

9. Privacy and Data Protection

9.1 Compliance with Privacy Laws. Developer will access, collect, use, disclose, retain, transfer, process, and otherwise handle all personal information, personal data, wallet information, User Content, Service Data, and other data obtained from or through the API, the Coin Communities feature, the Application, or the Platform in compliance with all applicable privacy, data protection, and data security laws, rules, regulations, directives, and regulatory requirements, including, to the extent applicable, the General Data Protection Regulation ((EU) 2016/679) (“GDPR”), the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”), and any other applicable U.S. state, federal, or non-U.S. privacy or data protection laws.

9.2 Developer Privacy Policy and Notices. Developer will maintain and make available to End Users through the Application or Platform a clear, accurate, and legally compliant privacy policy that describes Developer’s collection, use, disclosure, retention, transfer, and other processing of personal information, personal data, wallet addresses, public blockchain identifiers, and other data in connection with the Application, the Platform, and Developer’s use of the API and the Coin Communities feature. Developer will provide all notices required by applicable law and will not make any false, misleading, or incomplete statements regarding Coin Communities’ role in processing data or the privacy, security, anonymity, or confidentiality of any blockchain-based activity.

9.3 Consents and Legal Bases. Developer is solely responsible for obtaining, maintaining, and documenting all consents, permissions, authorizations, and other legal bases required under applicable law for the collection, use, disclosure, transfer, and other processing of personal information, personal data, wallet information, User Content, and other data by or on behalf of Developer, Coin Communities, and any applicable service providers in connection with the Application, the Platform, the API, and the Coin Communities feature. Without limiting the foregoing, Developer will obtain any consent required for the use of cookies, tracking technologies, analytics technologies, direct communications, wallet connectivity tools, or similar technologies implemented by or through the Application or Platform.

9.4 Data Minimization; Retention. Developer will limit its collection, access, use, disclosure, and retention of personal information, personal data, wallet information, public blockchain addresses, and other data obtained from or through the API or the Coin Communities feature to that which is necessary for Developer’s permitted use under these Terms and otherwise permitted by applicable law. Developer will not retain such data for longer than reasonably necessary for the specific lawful purposes for which it was collected, and will delete, anonymize, or de-identify such data when no longer needed, unless longer retention is required by applicable law.

9.5 Security of Personal Data and Identifiers. Developer will implement and maintain commercially reasonable administrative, technical, physical, and organizational safeguards designed to protect personal information, personal data, wallet addresses, public blockchain identifiers, usernames, account identifiers, API Credentials, and other sensitive or identifying data against unauthorized access, acquisition, use, disclosure, alteration, loss, or destruction. Without limiting the foregoing, Developer will securely store wallet and user identifiers, apply appropriate access controls, encryption, and secure transmission measures, and restrict access to such information to personnel and service providers with a legitimate need to know and who are bound by written confidentiality and security obligations.

9.6 Privacy Rights Requests and Cooperation. Developer is solely responsible for responding to any request, inquiry, complaint, or exercise of rights by any End User or other individual relating to personal information or personal data processed by or on behalf of Developer in connection with the Application, the Platform, or Developer’s use of the API or the Coin Communities feature, including rights relating to access, correction, deletion, portability, restriction, objection, opt-out, or limitation of use or disclosure, in each case to the extent required by applicable law. Developer will provide such cooperation and assistance as Coin Communities may reasonably request in connection with any privacy, data protection, or security inquiry, complaint, investigation, or request relating to Developer’s use of the API or the Coin Communities feature.

9.7 Cross-Border Processing. Developer acknowledges and agrees that personal information, personal data, wallet information, User Content, and related data may be processed in jurisdictions other than the jurisdiction in which an End User resides or from which such data was collected. Developer is solely responsible for ensuring that any cross-border transfer, disclosure, access, storage, or other processing by or on behalf of Developer is conducted in compliance with applicable law and supported by any required notices, consents, transfer mechanisms, or other legal safeguards.

9.8 Digital Wallets and Blockchain Transparency. Developer acknowledges and agrees that Digital Wallets, wallet providers, wallet software, blockchain explorers, node providers, Blockchain Networks, and related third-party tools, services, protocols, and infrastructure are not owned or controlled by Coin Communities. Coin Communities is not responsible for the privacy practices, security, availability, functionality, acts, or omissions of any such third party. Developer further acknowledges that blockchain transactions, wallet addresses, token holdings, smart contract interactions, and related on-chain activity may be publicly visible, traceable, immutable, and independently accessible on applicable Blockchain Networks, and Coin Communities does not represent, warrant, or guarantee that any such information will be private, confidential, anonymous, or capable of being deleted, concealed, or modified.

9.9 No Responsibility for Developer Compliance. Developer is solely responsible for its privacy, data protection, and data security compliance in connection with the Application, the Platform, and Developer’s access to and use of the API and the Coin Communities feature. Without limiting any disclaimers elsewhere in these Terms, Coin Communities will have no liability arising out of or relating to Developer’s failure to provide required notices, obtain required consents, honor applicable privacy rights, implement adequate security measures, or otherwise comply with applicable privacy, data protection, or data security laws.

9.10 Data Processing Addendum; Controller/Processor Roles. To the extent that Coin Communities processes any Personal Data (as defined under applicable Data Protection Laws) on behalf of Developer in connection with the API, the Coin Communities feature, the Application, or the Platform, the parties agree that this Section constitutes and forms part of the parties’ data processing agreement for purposes of applicable Data Protection Laws, including Article 28 of the GDPR, to the extent applicable.

(a) Roles of the Parties. The parties acknowledge and agree that, with respect to the processing of Personal Data in connection with Developer’s use of the API and the Coin Communities feature: (i) Developer is generally the controller or business with respect to Personal Data processed through or in connection with the Application or Platform; and (ii) Coin Communities acts as a processor or service provider solely to the extent it processes such Personal Data on behalf of and pursuant to Developer’s documented instructions as reflected in these Terms and Developer’s use of the API and the Coin Communities feature. Notwithstanding the foregoing, Coin Communities may act as an independent controller or business with respect to Personal Data processed for its own legitimate business purposes, including: (A) security monitoring; (B) fraud prevention; (C) abuse detection; (D) spam prevention; (E) platform integrity and trust-and-safety operations; (F) legal and regulatory compliance; (G) enforcement of these Terms and related policies; (H) protection of the rights, property, systems, services, users, or infrastructure of Coin Communities or third parties; and (I) generation of aggregated, de-identified, or anonymized analytics, operational metrics, and Service Data.

(b) Processing Instructions. Coin Communities will process Personal Data on behalf of Developer only: (i) as necessary to provide, operate, secure, maintain, support, and improve the API and the Coin Communities feature; (ii) in accordance with these Terms and Developer’s documented instructions; or (iii) as otherwise required by applicable law. Developer instructs Coin Communities to process Personal Data as necessary to provide the API and the Coin Communities feature in accordance with these Terms and Developer’s authorized configuration and use thereof.

(c) Confidentiality. Coin Communities will ensure that personnel authorized to process Personal Data are subject to appropriate obligations of confidentiality.

(d) Security Measures. Coin Communities will implement and maintain commercially reasonable technical and organizational measures designed to protect Personal Data against unauthorized or unlawful access, acquisition, disclosure, alteration, loss, destruction, or compromise, taking into account the nature of the processing, the state of the art, implementation costs, and the risks presented by the processing.

(e) Subprocessors. Developer authorizes Coin Communities to engage Affiliates and third-party subprocessors in connection with the provision of the API and the Coin Communities feature. Coin Communities will impose data protection obligations on such subprocessors that are materially protective of Personal Data to a standard substantially similar to those set forth in this Section. Coin Communities will remain responsible for the performance of its subprocessors to the extent required by applicable law.

(f) Data Subject Requests. Taking into account the nature of the processing, Coin Communities will provide commercially reasonable cooperation and assistance to Developer, at Developer’s expense where legally permitted, in responding to requests from data subjects relating to access, correction, deletion, portability, restriction, objection, or similar rights under applicable Data Protection Laws. Where Coin Communities receives a request directly from a data subject relating to Personal Data processed on behalf of Developer, Coin Communities may direct the requesting party to Developer unless otherwise required by applicable law.

(g) Security Incidents. Coin Communities will provide Developer with notice without undue delay after becoming aware of a confirmed Security Incident affecting Personal Data processed by Coin Communities on behalf of Developer where such notice is required by applicable law. “Security Incident” means unauthorized access to, acquisition of, or disclosure of Personal Data resulting from a breach of Coin Communities’ security measures. Coin Communities’ notification of a Security Incident is not an acknowledgment of fault or liability.

(h) International Transfers. Developer acknowledges and agrees that Personal Data may be processed in the United States and other jurisdictions in which Coin Communities, its Affiliates, or its subprocessors maintain operations. To the extent required under applicable Data Protection Laws for cross-border transfers of Personal Data, the parties agree that the Standard Contractual Clauses approved by the European Commission, together with any applicable UK addendum or equivalent transfer mechanism, are incorporated by reference into these Terms and apply automatically where legally required.

(i) Deletion and Retention. Upon termination of Developer’s access to the API and the Coin Communities feature, Coin Communities will delete or render inaccessible Personal Data processed on behalf of Developer within a commercially reasonable period, unless retention is required by applicable law, legitimate security purposes, fraud prevention purposes, dispute resolution obligations, backup recovery practices, or other legitimate operational or legal purposes.

(j) Blockchain Data and Public Identifiers. Developer acknowledges and agrees that public blockchain addresses, wallet identifiers, token ownership records, smart contract interactions, transaction history, and related on-chain data may be publicly visible, immutable, independently accessible, and incapable of modification or deletion by Coin Communities. Nothing in this Section obligates Coin Communities to alter, delete, obscure, or render inaccessible information recorded on a public Blockchain Network that Coin Communities does not own or control.

(k) Demonstration of Wallet Control. Where Developer or an End User seeks to exercise rights relating to Personal Data associated with a Digital Wallet or public blockchain address, Coin Communities may require reasonable verification of control over the applicable wallet, including cryptographic signature verification or similar authentication mechanisms, before responding to such request.

(l) CCPA/CPRA Service Provider Terms. To the extent applicable under the CCPA/CPRA, Coin Communities will act as a “service provider” or “contractor” with respect to Personal Information processed on behalf of Developer and will not: (i) sell or share such Personal Information; (ii) retain, use, or disclose such Personal Information outside the direct business relationship between the parties; or (iii) combine such Personal Information with personal information obtained from other sources, except as permitted by applicable law. Nothing in this Section restricts Coin Communities from using Service Data, aggregated data, de-identified data, or anonymized data for lawful business purposes.

10. Rate Limits and Technical Restrictions

10.1 As Available. The API, the Coin Communities feature, and all related SDKs, developer tools, documentation, endpoints, authentication mechanisms, and technical materials are made available on an “as available” basis. Without limiting any other provision of these Terms, Coin Communities does not guarantee the availability, continuity, throughput, latency, performance, compatibility, or continued operation of the API or any related technical functionality.

10.2 Rate Limits; Throttling. Coin Communities may, at any time and with or without notice, establish, implement, modify, enforce, or remove rate limits, usage caps, throughput limits, concurrency limits, request limits, bandwidth restrictions, or other technical or operational restrictions on access to or use of the API or any portion of the Coin Communities feature. Coin Communities may throttle, delay, queue, reject, suspend, or otherwise limit any API call, request, connection, event, or other usage that exceeds such limits or that Coin Communities determines may impair the stability, integrity, security, or performance of the API, the Coin Communities feature, or any related systems or services.

10.3 Changes to Endpoints and Technical Requirements. Coin Communities may, at any time and in its sole discretion, add, remove, replace, reconfigure, disable, suspend, restrict, or otherwise modify any API endpoint, method, call structure, protocol, format, response, field, parameter, webhook, authentication requirement, integration requirement, SDK, developer tool, or related technical specification, documentation, or implementation requirement. Developer is solely responsible for monitoring for and timely implementing any changes necessary to maintain compatibility of the Application and the Platform with the API and the Coin Communities feature.

10.4 Deprecation. Coin Communities may, at any time and in its sole discretion, deprecate, discontinue, sunset, suspend, or terminate access to all or any portion of the API, any endpoint, method, version, feature, functionality, SDK, integration, or related technical component, with or without notice. Coin Communities will have no liability arising out of or relating to any such deprecation, discontinuation, sunset, suspension, termination, or any resulting unavailability, incompatibility, interruption, or loss of functionality.

10.5 No Reliance on Continued Availability. Developer will not rely on the continued availability of any particular API endpoint, version, SDK, feature, technical configuration, or implementation detail. Developer acknowledges and agrees that Coin Communities may make changes for legal, regulatory, security, operational, technical, commercial, or product-related reasons, and Developer is solely responsible for all updates, modifications, testing, maintenance, and remediation required to adapt the Application, the Platform, and Developer’s integrations to any such changes.

11. Open Source and Third-Party Services

11.1 Open Source and Third-Party Services. Developer acknowledges and agrees that the API, the Coin Communities feature, and related services, systems, and functionality may rely on, interoperate with, or be made available through open source software and third-party services, systems, protocols, tools, and infrastructure, including Blockchain Networks, node operators, RPC providers, indexers, decentralized networks, cloud hosting providers, Digital Wallets and wallet providers, authentication providers, and third-party moderation, trust and safety, security, analytics, or content-filtering tools. Coin Communities does not own or control, and is not responsible for, the availability, performance, security, legality, accuracy, reliability, interoperability, or continued support of any such third-party or open source components, and Coin Communities will have no liability arising out of or relating to any outage, interruption, degradation, delay, malfunction, incompatibility, error, breach, failure, or discontinuation of any such third-party systems, services, software, networks, or infrastructure.

12. Coin Communities Intellectual Property

12.1 Ownership; Limited Branding Use. As between Coin Communities and Developer, Coin Communities and its licensors own and retain all right, title, and interest in and to the API, all related software, SDKs, developer tools, documentation, specifications, interfaces, protocols, technical materials, trademarks, service marks, trade names, logos, trade dress, branding, and other Coin Communities names, identifiers, and proprietary materials, together with all goodwill arising from the use thereof. Except for the limited rights expressly set forth in these Terms, no license, right, or interest in or to any of the foregoing is granted to Developer. Subject to Developer’s continued compliance with these Terms, Coin Communities grants Developer a limited, non-exclusive, revocable, non-transferable, non-sublicensable license during the Term to use Coin Communities’ names and logos solely as reasonably necessary to identify truthful compatibility or interoperability of the Application or Platform with the API or the Coin Communities feature, and solely in accordance with any branding, attribution, usage, or trademark guidelines made available by Coin Communities from time to time. Developer will not use any Coin Communities trademark, logo, or branding in any manner that suggests sponsorship, endorsement, affiliation, partnership, approval, or certification by Coin Communities, or in any manner that is misleading, confusing, disparaging, dilutive, or otherwise unauthorized. All use of Coin Communities trademarks, logos, and branding by Developer will inure solely to the benefit of Coin Communities.

13. Beta Features

13.1 Beta Features. From time to time, Coin Communities may make available certain API features, functionality, tools, endpoints, integrations, or related services that are identified as beta, pilot, preview, early access, test, experimental, or by similar designation (collectively, “Beta Features”). Developer acknowledges and agrees that any Beta Features are experimental, may be incomplete, unstable, contain errors or bugs, may not operate as intended, may be modified, limited, suspended, or discontinued at any time, with or without notice, and may never become generally available. Beta Features are provided solely on an “as is” and “as available” basis, without any representations, warranties, covenants, or guarantees of any kind, whether express, implied, statutory, or otherwise, and Coin Communities disclaims all warranties with respect to Beta Features, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, performance, accuracy, reliability, security, or uninterrupted operation.

14. Disclaimer of Warranties

14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE API, THE COIN COMMUNITIES FEATURE, THE COIN COMMUNITIES SITE, ALL RELATED SDKS, DEVELOPER TOOLS, DOCUMENTATION, ENDPOINTS, AUTHENTICATION SYSTEMS, WEBHOOKS, INTEGRATIONS, TOKEN-GATED COMMUNITY FUNCTIONALITY, CONTENT, SERVICE DATA, BETA FEATURES, AND ALL RELATED SERVICES, SYSTEMS, MATERIALS, AND FUNCTIONALITY MADE AVAILABLE BY OR ON BEHALF OF COIN COMMUNITIES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES, COVENANTS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

14.2 WITHOUT LIMITING THE FOREGOING, COIN COMMUNITIES EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, RELIABILITY, QUALITY, PERFORMANCE, SECURITY, AVAILABILITY, COMPATIBILITY, INTEROPERABILITY, LATENCY, UPTIME, CONTINUITY, ERROR-FREE OPERATION, OR UNINTERRUPTED ACCESS, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

14.3 COIN COMMUNITIES DOES NOT REPRESENT, WARRANT, OR GUARANTEE THAT THE API OR THE COIN COMMUNITIES FEATURE WILL MEET DEVELOPER’S OR ANY END USER’S REQUIREMENTS OR EXPECTATIONS, THAT ACCESS TO OR USE OF THE API OR THE COIN COMMUNITIES FEATURE WILL BE TIMELY, SECURE, UNINTERRUPTED, OR ERROR-FREE, THAT ANY DEFECT, BUG, OR ERROR WILL BE IDENTIFIED OR CORRECTED, THAT ANY DATA, CONTENT, OUTPUT, OR COMMUNICATION WILL BE ACCURATE, COMPLETE, CURRENT, OR PRESERVED WITHOUT LOSS, OR THAT THE API, THE COIN COMMUNITIES FEATURE, OR ANY RELATED SYSTEMS OR INFRASTRUCTURE WILL BE FREE OF VIRUSES, MALICIOUS CODE, HARMFUL COMPONENTS, OR OTHER DEFECTS.

14.4 WITHOUT LIMITING ANY OTHER DISCLAIMER IN THESE TERMS, COIN COMMUNITIES MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE WITH RESPECT TO ANY BLOCKCHAIN NETWORK, DIGITAL WALLET, WALLET PROVIDER, TOKEN, NFT, SMART CONTRACT, NODE OPERATOR, RPC PROVIDER, INDEXER, ORACLE, THIRD-PARTY SERVICE, OPEN SOURCE SOFTWARE, TOKEN-GATED COMMUNITY, COMMUNITY OWNER, ADMINISTRATOR, MODERATOR, END USER, OR OTHER THIRD PARTY, INCLUDING AS TO AVAILABILITY, FUNCTIONALITY, VALIDITY, OWNERSHIP, AUTHENTICITY, SECURITY, LEGALITY, COMPLIANCE, VALUE, OR FITNESS FOR ANY PARTICULAR PURPOSE.

14.5 COIN COMMUNITIES DOES NOT WARRANT OR GUARANTEE THAT ANY TOKEN OWNERSHIP, WALLET CONTROL, DELEGATION STATUS, STAKING STATUS, ACCESS ELIGIBILITY, OR OTHER BLOCKCHAIN-BASED ENTITLEMENT WILL BE VERIFIED ACCURATELY, CONTINUOUSLY, OR WITHOUT INTERRUPTION, OR THAT ANY TOKEN-GATED COMMUNITY OR RELATED FUNCTIONALITY WILL REMAIN AVAILABLE, ACCESSIBLE, OR OPERABLE AT ANY PARTICULAR TIME OR IN ANY PARTICULAR MANNER.

14.6 NO ORAL OR WRITTEN INFORMATION, ADVICE, MATERIALS, DOCUMENTATION, SUPPORT, TECHNICAL GUIDANCE, IMPLEMENTATION ASSISTANCE, OR OTHER COMMUNICATION PROVIDED BY OR ON BEHALF OF COIN COMMUNITIES WILL CREATE ANY REPRESENTATION, WARRANTY, COVENANT, OR GUARANTEE UNLESS EXPRESSLY SET FORTH IN THESE TERMS. DEVELOPER ASSUMES ALL RISK ARISING OUT OF OR RELATING TO ITS ACCESS TO, USE OF, IMPLEMENTATION OF, OR RELIANCE ON THE API, THE COIN COMMUNITIES FEATURE, AND ANY RELATED SERVICES, SYSTEMS, MATERIALS, OR FUNCTIONALITY.

15. Limitation of Liability

15.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COIN COMMUNITIES, SITE OPERATOR, LLC, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, MANAGERS, AGENTS, LICENSORS, SERVICE PROVIDERS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS, THE API, THE COIN COMMUNITIES FEATURE, THE COIN COMMUNITIES SITE, OR ANY RELATED SERVICES, SYSTEMS, MATERIALS, OR FUNCTIONALITY, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL THE AGGREGATE LIABILITY OF COIN COMMUNITIES, SITE OPERATOR, LLC, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, MANAGERS, AGENTS, LICENSORS, SERVICE PROVIDERS, OR REPRESENTATIVES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE API, THE COIN COMMUNITIES FEATURE, THE COIN COMMUNITIES SITE, OR ANY RELATED SERVICES, SYSTEMS, MATERIALS, OR FUNCTIONALITY EXCEED ONE THOUSAND DOLLARS ($1,000.00) IN THE AGGREGATE, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

16.1 Indemnification by Developer. Developer will defend, indemnify, and hold harmless Coin Communities, Site Operator, LLC, its Affiliates, and each of their respective officers, directors, employees, members, managers, agents, licensors, service providers, successors, assigns, and representatives (collectively, the “Coin Communities Indemnified Parties”) from and against any and all claims, demands, actions, suits, investigations, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to any third-party claim, demand, action, or proceeding to the extent arising from or relating to: (a) the Application, the Platform, or Developer’s or any of its personnel’s, contractors’, agents’, or service providers’ access to, use of, implementation of, or integration with the API or the Coin Communities feature; (b) any User Content or other data, materials, communications, or information submitted, uploaded, posted, transmitted, displayed, processed, or otherwise made available by or on behalf of Developer or any End User through or in connection with the Application, the Platform, the API, or the Coin Communities feature; (c) any actual or alleged violation of applicable law, rule, regulation, order, or regulatory requirement by or on behalf of Developer, the Application, the Platform, or any End User in connection with Developer’s use of the API or the Coin Communities feature, including any unlawful, fraudulent, deceptive, abusive, or otherwise prohibited conduct; (d) any actual or alleged infringement, misappropriation, dilution, violation, or other breach of any intellectual property right, proprietary right, publicity right, moral right, or other right of any person or entity by or arising from the Application, the Platform, User Content, or Developer’s or any End User’s use of the API or the Coin Communities feature; (e) any actual or alleged violation of any privacy, data protection, data security, consumer protection, or communications law, rule, regulation, directive, or regulatory requirement, or any breach of Developer’s privacy policy, data handling practices, or obligations relating to personal information, personal data, wallet information, public blockchain identifiers, User Content, Service Data, or other data processed by or on behalf of Developer; and (f) any actual or alleged offer, sale, promotion, solicitation, distribution, issuance, transfer, listing, trading, staking, rewards program, airdrop, token-gating arrangement, or other activity involving any digital asset, token, NFT, or other blockchain-based asset or right by or on behalf of Developer, the Application, the Platform, or any End User that violates or is alleged to violate any securities, commodities, broker-dealer, money transmission, anti-money laundering, sanctions, consumer financial, or other applicable financial-services or token-related law, rule, regulation, or regulatory requirement. Developer will not settle any claim subject to this Section without the applicable Coin Communities Indemnified Party’s prior written consent if such settlement admits fault of, imposes any obligation on, or otherwise adversely affects any Coin Communities Indemnified Party. Coin Communities may participate in the defense of any such claim with counsel of its own choosing at its own expense.

17. Miscellaneous

17.1 Governing Law. These Terms and any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the API, the Coin Communities feature, the Coin Communities Site, or any related services, systems, materials, or functionality will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice-of-law, conflict-of-laws, or other rule or principle that would result in the application of the laws of any other jurisdiction.

17.2 Binding Arbitration. Except as otherwise expressly provided in these Terms, any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the API, the Coin Communities feature, the Coin Communities Site, or any related services, systems, materials, or functionality, including any dispute regarding the existence, validity, enforceability, interpretation, breach, termination, or scope of these Terms or this arbitration provision, will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules then in effect. The arbitration will be conducted in Wilmington, Delaware, before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security, systems, or other proprietary or legal interests, without the requirement to post bond or prove actual damages.

17.3 Class Action Waiver; Jury Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO PARTICIPATE IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER PROCEEDING IN WHICH ANY PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. ANY ARBITRATION OR PROCEEDING PERMITTED UNDER THESE TERMS WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, MASS, CONSOLIDATED, OR REPRESENTATIVE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY ALSO WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING TO THE EXTENT SUCH WAIVER IS NOT PROHIBITED BY APPLICABLE LAW.

17.4 Right to Modify. Coin Communities may modify, amend, supplement, update, or replace these Terms, in whole or in part, at any time in its sole discretion. Coin Communities may provide notice of any such changes by posting updated Terms on the Coin Communities Site, through the API documentation or developer portal, by email, or by any other reasonable means. Unless Coin Communities states otherwise, any such changes will become effective upon posting or upon the effective date stated in the notice. Developer’s continued access to, use of, implementation of, or integration with the API or the Coin Communities feature after the effective date of any modified Terms constitutes Developer’s acceptance of the modified Terms. If Developer does not agree to any modified Terms, Developer must immediately cease all access to and use of the API and the Coin Communities feature.

17.5 Entire Agreement. These Terms constitute the entire agreement between Developer and Coin Communities with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, negotiations, representations, warranties, communications, and proposals, whether written or oral, relating to such subject matter. In the event of any conflict between these Terms and any purchase order, vendor form, click-through terms, or other terms submitted by Developer, these Terms will control unless Coin Communities expressly agrees otherwise in a written agreement signed by an authorized representative of Coin Communities.

17.6 Severability. If any provision of these Terms is held to be invalid, illegal, unenforceable, or incapable of being enforced to any extent under applicable law, such provision will be construed, limited, or, if necessary, severed only to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect and enforceable to the maximum extent permitted by applicable law.

17.7 Waiver. No failure or delay by either party in exercising any right, remedy, power, or privilege under these Terms will operate as a waiver thereof, and no single or partial exercise of any such right, remedy, power, or privilege will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of the waiving party.

17.8 Force Majeure. Coin Communities will not be liable for any delay, failure in performance, interruption, suspension, degradation, or unavailability arising out of or relating to any cause beyond its reasonable control, including any act of God, natural disaster, weather event, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, labor dispute, governmental action, embargo, sanctions, utility failure, internet or telecommunications outage, hosting failure, denial-of-service attack, cyberattack, blockchain network congestion or failure, third-party service failure, or other force majeure event.

17.9 Electronic Notices and Communications. Developer consents to receive all notices, disclosures, communications, and other information from Coin Communities electronically, including by email, through the Coin Communities Site, through the API documentation or developer portal, through the Application or Platform, or by any other electronic means. Developer agrees that any such electronic notice or communication satisfies any legal requirement that such notice or communication be in writing. Developer is solely responsible for keeping its contact information current and for regularly reviewing the Coin Communities Site, applicable documentation, and its email for notices and communications relating to these Terms, the API, and the Coin Communities feature.
